Terms and Conditions of Membership (Effective 1/5/07)
PART I - GENERAL TERMS & CONDITIONS
1. APPLICATION OF TERMS & CONDITIONS
1.1 These Terms & Conditions:
(a) govern Repco’s Team Repco program; and
(b) apply in addition to Repco’s Trading Terms.
1.2 The Terms & Conditions in Part I apply to all components of the Program.
1.3 The Terms & Conditions in Part II apply only to the specific component of the Program to which they relate.
2. MEMBERSHIP OF TEAM REPCO
2.1
(a) An applicant must satisfy the following requirements to be eligible for Membership:
(i) own or operate an independent automotive workshop or automotive repair business;
(ii) National Account applicants must obtain authorisation from their umbrella organisation;
(iii) have a current Repco 30 day Trading Account; and
(iv) complete the Membership Application Form.
(b) Repco may in its absolute discretion accept or reject any application.
2.2
(a) An annual or monthly Membership Fee as determined by Repco from time to time will be charged to the Member’s Repco Trading Account;
(b) At the discretion of Repco Reward Points may be accepted as an alternate method of payment of Membership Fees with the number of Reward Points required being determined by Repco from time to time;
(c) Unless otherwise advised, Repco will automatically renew a Member’s Membership annually;
(d) Current Fees and Minimum Monthly Purchase requirements will be listed from time to time of the Team Repco Internet web site.
2.3
(a) Membership commences upon notification by Repco that the applicant has been accepted as a Member;
(b) Repco may terminate a Membership immediately:
(i) upon breach of these Terms & Conditions including the non payment of the Membership Fee and Program Component fees; or
(ii) upon cancellation of the Member’s Repco Trading Account or 30 days’ consecutive stop credit on that account;
(c) A Member may terminate Membership at any time by giving notice in writing to Repco;
(d) Upon cessation of Membership:
(i) any membership fee which has been paid in advance by that Member is forfeited by the Member; and
(ii) all Reward Points accumulated by that Member are cancelled.
2.4 Any amounts owed to Repco under these Terms & Conditions or as part of the Team Repco Program are also deemed to be owed to Repco pursuant to the terms governing the Member’s Repco Trading Account.
3. TEAM REPCO PROGRAM
3.1 Members will be offered a series of Program components from time to time as determined by Repco.
3.2 Repco may alter, vary or terminate the Program components offered to Members from time to time.
3.3 The Member acknowledges that Repco is not the Member's agent.
3.4 Repco may charge Members Program Component Fees as determined by Repco from time to time in addition to the Membership Fee to participate in individual components of the Program.
3.5 The Member acknowledges that External Suppliers may pay a commission or fee to Repco in consideration of Repco introducing that Member to that External Supplier.
4. LIABILITY
4.1
(a) Repco does not guarantee the quality of any good or service provided to a Member by an External Supplier;
(b) All trading between Members and External Suppliers is in accordance with the trading terms and conditions of that External Supplier;
(c) Any Member wishing to raise any matter about a good or service provided by an External Supplier (other than in respect of any fuel card Program) should raise that matter with the External Supplier and not Repco;
(d) Except as provided for under clause 6, any Member seeking to obtain a refund or exchange on any good or service provided by an External Supplier must seek to obtain such refund or exchange from the External Supplier and must not seek to obtain such refund or exchange from Repco;
4.2 Repco is not liable for any loss or damage suffered by a Member as a consequence of an External Supplier altering a component of the Program;
4.3 Repco does not provide financial advice. Members should obtain their own independent tax, accounting and legal advice concerning the consequences of participating in Team Repco
4.4 Nothing in these Terms & Conditions shall be read or applied so as to purport to exclude, restrict or modify or have the effect of excluding, restricting or modifying the application of any applicable legislation.
5. RIGHT TO CHANGE TERMS & CONDITIONS
5.1 Repco may vary these Terms & Conditions from time to time.
5.2 Repco will publish current Terms & Conditions on the Team Repco internet web site.
PART II - SPECIFIC PROGRAM COMPONENTS
6. TEAM REPCO REWARDS
6.1
(a) Each Member is entitled to nominate their Repco Trading Account(s) as their Reward Account(s).
(b) Each Member will accrue Reward Points based on the purchase value of goods (excluding GST) from a Repco Auto Parts Store and charged to the nominated Reward Account(s).
(c) Reward Points may also be awarded to a Member for the Member’s participation in a Bonus Point opportunity offered to Members.
(d) Repco will award each Member Reward Points provided the Member purchases goods (excluding GST) from a Repco Auto Parts Store in excess of the Minimum Monthly Purchase as determined by Repco from time to time.
(e) Reward Points and Bonus Points expire 2 years from the date on which they were awarded, unless otherwise advised.
(f) 100% of all points earned within a period will be awarded if the members account is paid within 30 days. 50% of all points earned within a period will be awarded if the members account is paid between 31-40 days. Accounts paid after 40 days do not have points awarded.
6.2 The Team Repco Rewards Online internet web site will be periodically updated to enable each Member to view a Rewards Statement containing details relating to that Member’s Reward Points including the following details:
(a) the number of Reward Points earned since the previous statement;
(b) the number of Reward Points deducted since the previous statement; and
(c) the Reward Points balance.
6.3
(a) A Member must accrue the minimum number of Reward Points as determined by Repco from time to time before a claim may be made for a Reward.
(b) A Member must accrue the full number of Reward Points required to make a claim for a Reward and may not make up a shortfall in any way.
(c) Reward Points are not transferable and may not be pooled by 2 or more Members.
(d) A Member must make a claim for a Reward by using the Team Repco Rewards Online internet web site.
(e) After making a claim for a Reward a Member must allow up to 28 days for the Reward to be delivered.
(f) Rewards Points cannot be redeemed for cash.
6.4
(a) Repco does not guarantee that Rewards will be available at all times.
(b) Repco may provide the Member an item of similar nature and value to the unavailable Reward.
(c) Repco may at any time alter the Rewards offered to Members.
(d) Repco may at any time increase or decrease the number of Reward Points required to make a claim for any Reward.
(e) Where a variation of the Reward occurs Repco will make contact with the Member to confirm acceptance.
6.5
(a) Rewards will be delivered by courier or post to the Member’s address as entered into the Team Repco Rewards Online internet web site registration form.
(b) Repco can not confirm the time or date of delivery of a Reward.
6.6 If upon receipt of a Reward it is discovered that the Reward is damaged or faulty the Member must call the Team Repco Support Line to notify Repco of the nature of such damage or fault within 7 days of receipt.
6.7 A Member may not return or exchange a Reward unless the Reward is damaged or faulty.
7. TEAM RATES
7.1 A Member’s purchases from an External Supplier must not exceed the Maximum Purchase Amount without the prior approval of Repco.
7.2 Repco may at any time suspend a Member’s Team Repco Membership or participation in a Program if Repco acting reasonably considers that a Member’s volume of Purchases is excessive or exceeds the Maximum Purchase Amount without the prior approval of Repco.
7.3 Repco may charge Members a Team Rates Program Component Fee as determined by Repco from time to time to participate in the Team Rates Program.
7.4 The Member must purchase on a 30 day Repco Trading Account the minimum dollar value per month specified on the Team Repco internet web site to be eligible for Team Rates.
8. DEFINITIONS & INTERPRETATION
8.1 In these Terms & Conditions, the following terms have the following meanings unless the context requires otherwise:
"External Supplier" means a Member supplier other than Repco;
"Maximum Purchase Amount" means an amount set by Repco from time to time and specified on the Team Repco website which caps the monthly expenditure for any particular Program;
"Member" means a member of Team Repco;
"Membership" means membership of Team Repco;
"Membership Fee" means the annual fee paid by each Member to participate in the Team Repco Program;
"Minimum Monthly Purchase" means the minimum monthly dollar value of purchases that a Member must make from Repco in order to participate in the Team Repco Program as determined by Repco from time to time;
"National Account" means any Repco Trading Account which is associated with an umbrella organisation that allows multiple geographic locations to access the purchasing power of the umbrella organisation;
"Part I" means Part I of these Terms & Conditions, entitled "General Terms & Conditions";
"Part II" means Part II of these Terms & Conditions, entitled "Specific Program components";
"Program" means the range of benefits and services offered by Repco to a Member;
"Program Component Fee" means the fee payable by the Member to access an individual component of the Program;
"Repco" means Repco Limited ACN 097 993 283 trading as Repco Auto Parts;
"Repco Trading Account(s)" means a Member's current trading account(s) with Repco;
"Repco's Trading Terms" means the Repco Terms & Conditions of sale which apply from time to time;
"Reward" means an item listed in the Team Repco Rewards Online Catalogue;
"Reward Account" means the nominated Member account(s) on which Reward Points may be awarded;
"Reward Points" means points accumulated by a Member under the Program;
"Reward Certificate" means a certificate entitling a Member to obtain a specified item from a specified External Supplier;
"Terms & Conditions" means these Terms & Conditions, and includes Part I and Part II.8.2 In these Terms & Conditions, unless the contrary intention appears:
(a) the singular includes the plural and vice versa;
(b) a reference to a clause is a reference to a clause of these Terms & Conditions;
(c) all dollar amounts are expressed in Australian dollars;
(d) headings are included for convenience only and do not affect the interpretation of these Terms & Conditions
